February 27th, 2025 – Richmond, VA – Sparkstone Capital Advisors, LLC (“Sparkstone”) is pleased to announce the sale of a state-of-the-art composting facility in Manassas, Virginia (the “Facility”). The Facility was re-developed and expanded in 2020 through a joint venture between Equilibrium Capital (“Equilibrium”) and Freestate Farms (“Freestate”) (collectively, the “Sellers”). Sparkstone served as the exclusive financial advisor to the Sellers.
The Facility is operated through a public-private partnership with Prince William County (“PWC”), the second most populated county in the Commonwealth of Virginia. PWC recently implemented a mandate to divert yard waste from landfills, and it provides this waste to the Facility under a 20-year contract.
The Facility processes approximately 100,000 tons of waste annually using advanced aerated static pile technology. It produces a premium, certified compost as well as mulch and other soil amendment products in bulk. These products contribute to enriching soil health, elevating nutrient levels, and increasing crop yields.
Equilibrium is a private equity firm that develops and manages sustainable investment strategies with a focus on infrastructure assets across the agriculture, energy, transportation and heavy materials industries. Freestate Farms is an independent developer of facilities that produce premium landscaping products, including compost, topsoil, and mulch, by recycling local food and yard waste.
The buyer of the Facility was Convertus Group (“Convertus”), a leader in sustainable waste management. Convertus partners with communities to design, build, operate and service state-of-the-art organic waste treatment facilities. Convertus’ solutions combine quality, creativity, and technological expertise to convert organic waste into new resources and tap into their renewable energy potential.
